Terms of Service
1. Agreement to these Terms
These Terms govern your access to and use of the Kariisma website, platform, and services (the "Services"), operated by Kariisma ("we," "us"). By using the Services — including creating an account, running or joining a live shopping session, or connecting a third-party platform — you agree to these Terms and to our Privacy Policy. If you use the Services for a business, you confirm you are authorized to bind it, and "you" includes that business. You must be at least 18 and able to enter a contract.
2. The Services
Kariisma is a live commerce orchestration platform that gives hosts, brands, and agencies tools to plan, run, and analyze live shopping shows on third-party platforms (such as TikTok), including real-time session insights, AI-assisted coaching and recommendations, and reporting. Features depend on your role and plan. The Services are under active development; some features are offered on a pre-production, beta, or preview basis and may change.
3. Accounts
Authentication is provided through our identity provider (Auth0). You are responsible for your credentials and for activity under your account, and for keeping your registration information accurate. We may suspend or terminate accounts that breach these Terms or create risk for the Services or others.
4. Third-party platforms
The Services connect to third-party platforms — including TikTok / TikTok Shop — at your direction and under your authorization. Your use of each platform is governed by that platform's own terms, which you are responsible for following. You authorize us to access and process data from a connected platform only within the scope and duration you grant, solely to provide the Services. You may revoke that authorization at any time; on revocation we stop using that platform's data and delete it as described in our Privacy Policy, except where retention is legally required. We are not responsible for third-party platforms or changes to their APIs or policies.
5. Acceptable use
You agree not to use the Services to break the law or any third-party platform's terms; to post unlawful, infringing, deceptive, or harmful content or false product claims; to gain unauthorized access to or interfere with the Services; or to scrape or build competing datasets from the Services or data accessed through them.
6. Your content, data, and AI features
You keep ownership of the content and data you provide or generate ("Your Content") and grant us a limited license to host and process it solely to provide and improve the Services. How we handle personal data is described in our Privacy Policy; we do not sell your personal data or use customer or connected-platform data to train AI models outside the contracted service. AI-generated insights, coaching, and recommendations are assistive and informational only — they may be inaccurate, are not professional advice, and you remain responsible for what you say and sell and for compliance with applicable advertising and platform rules.
7. Intellectual property; fees
The Services, software, design, and Kariisma trademarks are owned by Kariisma or its licensors; except for the rights granted here, all rights are reserved. Where Services are offered on a paid or usage/commission basis, applicable fees are shown before you incur them and are non-refundable except as required by law.
8. Disclaimers and limitation of liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. We do not warrant that the Services will be uninterrupted or error-free, or that AI outputs or analytics will be accurate or produce any particular result, including sales outcomes. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KARIISMA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OR LOST PROFITS OR DATA, AND OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE PRIOR TWELVE MONTHS OR USD 100. You will indemnify Kariisma against claims arising from your use of the Services, Your Content, or your breach of these Terms or any third-party platform terms.
9. Termination
You may stop using the Services at any time. We may suspend or end your access if you breach these Terms or if we discontinue the Services. Provisions that by their nature should survive termination (including §6–§8 and §10) survive.
10. Governing law, changes, and contact
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over disputes arising out of these Terms. We may update these Terms as the platform evolves; we will post the new version with an updated effective date and, for material changes, give reasonable notice.
